Adesina Ogunlana Writes NBA Ikeja Branch Chairman, Says Date of Planned AGM ‘Unconstitutional’

Immediate past Chairman of the Nigerian Bar Association, Ikeja branch, Adesina Ogunlana has written an open letter to the current Chairman of the branch, Dele Oloke regarding the Annual General Meeting scheduled for July 29, 2019.

The letter reads:

Sir,

RE: NOTICE OF ANNUAL GENERAL MEETING 2019: A PLEA FOR RECONSIDERATION

My attention has been drawn to a notice issued by the Secretary of the Branch Chinedu Ifezue, Esq. on the above subject matter.

By the notice, your Executive shall be holding an Annual General Meeting of the Branch ostensibly of the 2017/2018 Branch year on 29th July, 2019.

The said notice and the purport thereof baffles me, because by the extant provisions of the bye-law the Annual General Meeting of the Branch mandatorily holds in any day working day within the month of June.

One is presently at a loss why your administration has failed to hold the A.G.M in the prescribed constitutional stipulate of time.

In my humble view, it appears that your decision to hold the A.G.M is a deliberate and unilateral ignore of our Bye-Law, which is neither justifiable nor excusable legally and morally.

As far I know, there exists no exigency, compelling or necessitating a departure from the legal conditions governing the affairs and administration of the Branch; thus holding the A.G.M as planned by your administration on July 29th 2019 amounts to a grave act of impunity and recklessness.
Asides the issue of the necessity of conforming with the Bye Laws of the Association, which is by no means sterile, your decision to hold the A.G.M on 29th July, 2019 brings a reasonable suspicion that the schedule is to achieve a sinister purpose of avoiding adequate and proper scrutiny of the stewardship accounts of your administration for year 2018/2019.

The A.G.M, as well known is the highest decision making organ of the Association wherein leadership stewardship is rendered. This, I humbly posit is the reason why same is fixed at a time that would ordinarily and easily afford all members of the Branch attendance of same to perform their crucial role of approval and sanction of their elected officials, their policies as well as their programmes and its execution within the year under review.

In the light of all the above, I wish to suggest to you in best interest of our dear Branch, that you should call for an Emergency Meeting of the Branch on or before the 24th July, 2019 to deliberate on the issues raised herein in this letter, for the way forward.

In the event of your disregard of this letter, which is of caution, may I most respectfully serve notice that action SHALL be taken to set aside any proceedings and outcome of any 2018/2019 A.G.M you may hold henceforth in view of its apparent unconstitutionality.
